Lazada Co-Branding Packages Terms and Conditions
These Terms and Conditions govern the collaboration between eligible brand owners (“you”, “your” or “Company”) and Ecart Services Malaysia Sdn. Bhd. (“Lazada”) in respect of the Lazada Co-Branding Packages (the “Program”). By participating in the Program, you agree to abide by these terms and conditions and any decisions made by Lazada. Insofar as they are applicable and not in conflict with the terms and conditions herein, the General Terms and Conditions (Lazada Sponsored Solutions) also govern your participation in the Program and/or your use of the Services, as defined therein, including but not limited to Sponsored Display.
Lazada may vary these Terms & Conditions from time to time (including terminate the Program), and in a way that Lazada deems in accordance with applicable laws and regulations.
1. Pricing and Payment
1.1 All fees, charges and/or payments referred to under the Program are exclusive of sales and service tax (SST) or any other taxes, levies or duties imposed by any government or other authority.
1.2 You shall be responsible for covering any such associated tax charges as indicated in the invoice issued by Lazada to you.
2. Estimated Impressions and Broadcasting Channels
2.1 All stated impression figures provided by Lazada are projections only and are not guarantees. The actual impressions would vary based on various factors.
2.2 The selection of media channels (such as digital channels, out-of-home, digital-out-of-home, cable TV channels, etc.) for your selected campaign shall be determined solely by Lazada and may be subject to change without prior notice.
3. Advertisement Placement and Design
3.1 Any images, illustrations or examples provided are solely for illustrative purposes.
3.2 The placement, size and prominence of any brand, logo, trade mark, service mark, name or other proprietary business identifiers associated with you or the Company, as well as the placement, size and prominence of any product, caption and design element, or other creative element in the final co-branding creative assets (“Advertisement”) shall be decided at Lazada’s sole discretion.
3.3 You agree that Lazada may arrange, place and/or feature your product(s) in a manner that fits the overall artistic direction and balance of the assets in the Advertisement without requiring any further approvals from you.
3.4 You understand that the Advertisement may involve showcasing your product(s) alongside competitor product(s), along with accompanying captions and/or unique selling propositions (USP). Your product(s) may also be incorporated or strategically featured within certain scenes to achieve the desired creative effect and concept of the Advertisement.
3.5 You understand that Lazada may need to perform certain levels of colour grading or correction on the Advertisement, to achieve the desired visual effects and enhancement as necessary, consistent with the overall aesthetic and intended portrayal of your product(s) as part of the Advertisement and creative direction of Lazada.
4. Changes to Package Details
4.1 Lazada reserves the right to make changes, modifications or variations to the package details and requirements without prior notice. Any changes will be communicated promptly to you.
5. Cancellation Policy
5.1 In the event of cancellation by you after the Sales Order has been issued for the purchase of a Lazada Co-Branding Package, the following penalties shall apply:

The Program duration shall be solely determined by Lazada.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
This Terms and Conditions constitutes the entire understanding between Lazada and you regarding the subject matter herein and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
